End-User License Agreement & Terms of Service

This End-User License Agreement and Terms of Service (the “Terms”) govern your access to and use of the website at breeze-air-conditioning.com and the related scheduling, invoicing, and payment features (collectively, the “Service”) provided by Breeze Air Conditioning Inc.(“Breeze,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Breeze provides a website through which you can request heating, ventilation, and air conditioning (“HVAC”) services, schedule appointments, and view and pay invoices. Breeze also provides HVAC installation, repair, and maintenance services for homes and businesses in the greater South-Dade area.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. You agree to provide accurate and complete information when you submit a request or make a payment.

3. Service Requests & Appointments

Submitting a request through the Service does not create a confirmed appointment. An appointment is scheduled only when we confirm it with you. We may decline, reschedule, or limit service based on location, availability, safety, or capacity.

4. Estimates, Invoices & Payment

• Quotes and estimates are based on the information available at the time and may change based on the conditions found on site. We will communicate material changes before performing additional work where reasonably practical.
• Invoices are payable according to the terms shown on the invoice (for example, within 15 days of issuance) unless otherwise agreed in writing.
• We accept payment by credit card (processed by Stripe), Zelle, and check. A discount may apply when you pay by Zelle or check, as reflected on your invoice.
• Past-due balances may be subject to suspension of service and to collection as permitted by law.

5. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, or reverse-engineer any part of the Service, or use it to build a competing product.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose, or submit false or misleading information;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with, disrupt, or place an unreasonable load on the Service; or
• Use automated means to access the Service except as expressly permitted.

7. Intellectual Property

The Service, including its content, design, logos, trademarks, and software, is owned by Breeze or its licensors and is protected by applicable laws. These Terms do not grant you any ownership rights.

8. Third-Party Services

The Service relies on third-party providers, including Stripe (payments) and Intuit / QuickBooks Online (accounting). Your use of certain features may be subject to those providers’ terms. We are not responsible for the acts, omissions, or content of third-party services.

9. Service Warranties

Any workmanship or equipment warranty for HVAC services we perform is governed by the written estimate or service agreement for that specific job, and not by these Terms. This Section does not limit any warranty or right you may have under applicable law that cannot be waived.

10. Disclaimers

Except as expressly stated, the website and platform are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Breeze will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Breeze and its owners, employees, and contractors from any claims, damages, or expenses arising out of your misuse of the Service or your violation of these Terms.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
